What Do We Know About the Tata Capital IPO?

According to a report by Moneycontrol, the Tata Group has initiated discussions with advisors to launch the Tata Capital IPO by next year. The group has engaged Cyril Amarchand Mangaldas as legal counsel and Kotak Mahindra Capital as the investment banker for the process.

While the IPO size is yet to be finalized, industry speculation suggests a potential offering of ₹15,000 crore, likely comprising both primary and secondary share sales.

This move aligns with the Reserve Bank of India’s (RBI) circular mandating upper-layer NBFCs to list within three years of their classification. Tata Capital, designated as an upper-layer NBFC in September 2022, has until September 2025 to comply with this directive.

Following a merger approved in June 2024 under the NCLT scheme, Tata Motors Finance Limited (TMFL) was merged into Tata Capital. As part of the merger, Tata Capital issued equity shares to TMFL shareholders.
